SkyLaw Winter Update 2025
It's the most wonderful time of the year!

We like to publish these updates to tell you about the type of work that is keeping us busy, key legal developments you should know about, and fun stuff that is happening at SkyLaw. We are currently celebrating our 15th anniversary (if you can believe that), and getting ready for the holidays. We have included below a little story about Santa Claus to bring some Christmas cheer.

We closed seven cross-border M&A transactions so far this year. We represent both buyers and sellers and we love when we work with a client that is doing its first transaction in Canada.
In March and April of this year, we were very concerned about the impact of tariffs and global events on the economy. Many deals were paused amid the uncertainty. The incredible enthusiasm for Canada and the successful deal-making that followed was a very pleasant surprise. The momentum is continuing and 2026 should be a great year!

A parent whose children became stranded in a park. A person with asthma who was unable to speak to the 911 dispatcher. A store employee who triggered a silent alarm in the midst of a robbery. All of these are real-life examples of people who have relied on the intelligent safety platform built by RapidSOS, a US-based global leader in mission-critical intelligence for emergency response, to communicate vital data to first responders and support a fast and informed rescue. Since launching, RapidSOS has supported the life-saving work of 911 in over one billion emergencies.
We are thrilled to share that SkyLaw worked with RapidSOS on its acquisition of Northern911, an Ontario-based provider of 911 services to hundreds of emergency communications agencies across North America. SkyLaw served as Canadian counsel to RapidSOS, a role which falls right in our sweet spot of cross-border M&A. Working together with US counsel, we assisted with drafting and negotiating the transaction documents, conducting due diligence, and carrying out corporate structuring steps for the deal.
The acquisition significantly enhances RapidSOS's safety network, which already supports more than 22,000 agencies across the United States and Canada and integrates data from over 600 million connected devices. Northern911 brings decades of experience providing backup services and maintaining call flow during outages, disasters, staffing shortages, and surge events.
We are proud to see an organization like RapidSOS increase its Canadian presence, and to have been part of a transaction that enhances public safety infrastructure in our community.

We have worked with a number of clients in the educational space. Recently, SkyLaw acted as Canadian counsel to the shareholders of the Ontario-based, renowned private school Newton’s Grove School Inc. in joining the Inspired Education Group. Established in 1977, Newton’s Grove has gained a reputation for academic excellence, and a rich array of sports, music, and arts programs and has recently opened a second campus.
SkyLaw worked closely with the shareholders in negotiating the terms of the arrangement with Inspired Education, managing the due diligence process and ultimately guiding them to a successful closing.
Inspired Education is a UK-based, leading global education group, and this transaction represents its successful expansion into the Canadian private school market.

Our team had the pleasure of touring the Newton’s Grove campus including its newly renovated athletic centre which was impressively adorned with student athletic awards all around the perimeter. We loved seeing the students enjoy the sunshine and greenery in the adjacent park on their break. We especially enjoyed hearing the story that the school was a leader in the development of the beautiful, under-utilized space surrounding Pearson airport.

Back when Kevin first started practicing, big firms grappled with a challenging concept: firm publications represented a significant investment and they were only mailed to actual clients. There was a lot of resistance to posting those publications for free on the new-fangled “internet” for the whole world to see.
Today, firm publications are freely and widely shared for the benefit of not only clients, but anyone with an interest in such topics. Sharing this knowledge can contribute to a more informed public, supporting thoughtful personal and professional decision-making.

SkyLaw Professional Corporation was officially incorporated on October 27, 2010, so the SkyLaw team is celebrating 15 years in business this year.
To mark this special occasion, we recently welcomed staff, close friends and family into our office for an intimate celebration of this milestone. The evening was filled with good food, great drinks, and lively conversation as we enjoyed some music and games, shared memories from the past fifteen years, and toasted to the people who have helped shape SkyLaw into the firm it is today.
As 15 years is no small feat, we have even more celebrations planned for our anniversary coming up, and we will be sending out a special anniversary edition of our newsletter soon. Stay tuned!

SkyLaw Continues to Grow
We are thrilled to introduce you to our newest team members.

Gabe maintains a broad corporate and securities law practice. After articling at a prominent Bay Street law firm, he worked in-house at a venture capital firm where he assisted on various corporate matters. His experience spans advising both emerging companies and established businesses through various stages of growth. In his spare time, he enjoys golfing and traveling. After five successful years leading Kushneryk Morgan LLP, Susan is excited to be going in a new direction in 2026 by practicing in association with SkyLaw as our newest SkyCounsel member. She will continue to represent clients in the boardroom and before courts and administrative tribunals, and will be even better positioned to provide advice on all manner of governance issues and disputes. We are thrilled that SkyLaw will have the opportunity to benefit from her vast corporate governance advisory and litigation expertise. At SkyLaw, we know that inspiration and creativity spark productivity, and that a thoughtfully designed workspace can make all the difference. That’s why our team was thrilled to have the opportunity to acquire some new, meaningful artwork for our office space this year.
On a recent trip to France, Kevin came across a stunning landscape painting. Immediately envisioning the piece in our reception area, he purchased it and had it shipped overseas. It now sits proudly opposite our front entry, setting the tone for the warm SkyLaw welcome we always aim to offer.
As for our newly renovated boardroom - looking sharp but in need of that final touch, we turned to the Canada Council Art Bank. Their expert curators provided a thoughtful shortlist of contemporary Canadian pieces from their extensive collection, helping us to find works that fit the room and reflect SkyLaw’s values. After a careful selection process, which included a trip to the amazing warehouse in Ottawa, we’re proud to showcase two dynamic and thought-provoking artworks that spark conversation and make the room feel complete. Following the installation of Kevin's custom desk, complete with its expansive wooden feature wall, Kevin saw an opportunity to fill the blank space with something truly special. He commissioned Toronto artist Martin Russocki to create a deeply personal, distinctly Canadian painting based on a photograph taken from the dock of Kevin’s beloved cottage.

Martin brought the piece to life in a temporary studio set up in one of our offices and invited every member of the SkyLaw team to contribute a brushstroke or two. Check out the video here to see the full artistic process. The result is a collaborative, meaningful work that captures both Kevin’s family memories and the shared spirit of our team. The finished piece now offers a beautiful lakeside backdrop for anyone joining Kevin’s video calls.

This year’s holiday image is a continuation of last year’s card, showing how the firm has grown and settled into our new space. We love the warmth and comfort of our recently updated boardroom. Come by and visit us so we can show you in person!

On December 15, SkyLaw was visited by 39 students from Brown Public School to learn about commerce. Kevin’s kids helped to plan this special visit, which took place during their field trip. It was a pleasure answering their questions and hearing their delightful comments, such as, “Do you sleep here?” and “Why is there so much junk food? I thought there would only be healthy food because this is an office.”
In a famous editorial in the New York newspaper The Sun on September 21, 1897, the editorial board answered a letter from an 8-year-old girl named Virginia asking: is there a Santa Claus? Their response: Yes, Virginia, there is a Santa Claus.
Earlier this year, a similar conversation happened over dinner between Kevin, Sienna (8 years old) and Hudson (6 years old). Here is a verbatim transcript:
